1Acceptance of Terms

By downloading, installing, or using the Lexapient desktop application ("Application") or any related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Application or Services.

If you are using the Application on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and "you" refers to both you individually and your organisation.

2Description of Service

Lexapient is a Windows desktop application built on .NET that automates the extraction, classification, and structuring of information from documents. The Application:

  • Connects directly to the Google Gemini API for AI-powered document analysis.
  • Operates with a privacy-first, local-first architecture — no document content, prompts, or results pass through Lexapient's infrastructure.
  • Processes documents from local filesystems, Microsoft Outlook, and iManage document management systems.
  • Uses reusable extraction configurations called "Playbooks" containing ordered sets of Extraction Rules.

The Application is a tool that assists with document extraction and analysis. It does not provide legal, financial, compliance, or professional advice. You are responsible for verifying all extraction results and making independent professional judgements.

3Eligibility

You must be at least 18 years of age to use the Application. By using the Application, you represent that you meet this requirement and that all registration information you provide is accurate and complete.

4Accounts & Authentication

The Application supports two authentication modes for accessing the Google Gemini API:

4.1 Vendor-Provisioned Access

Lexapient may provide batch-scoped API keys to authenticated users. These keys are:

  • Created at the start of each extraction batch and deleted immediately upon completion.
  • Restricted to the Gemini API (generativelanguage.googleapis.com) only.
  • Subject to usage metering and the applicable pricing plan.

You agree not to attempt to extract, copy, share, or reuse vendor-provisioned API keys outside of normal Application use.

4.2 Bring Your Own Key (BYOK)

You may provide your own Google Gemini API key. When using BYOK:

  • You are responsible for all API usage billed to your Google Cloud account.
  • You are responsible for securing your API key and complying with Google's terms of service.
  • Lexapient stores your key locally in Windows Credential Manager and does not transmit it to any Lexapient system.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised access.

5Acceptable Use

You agree to use the Application only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Application to process documents you do not have the legal right to access or analyse.
  • Reverse-engineer, decompile, or disassemble the Application, except as permitted by applicable law.
  • Attempt to circumvent any usage limits, licensing restrictions, or security measures.
  • Redistribute, sublicense, or resell the Application or any vendor-provisioned API keys.
  • Use the Application in any way that violates applicable laws, regulations, or third-party rights.
  • Interfere with or disrupt the integrity or performance of the Application or its supporting services.
  • Use the Application to generate content that is harmful, abusive, threatening, or otherwise objectionable.

6Your Documents & Data

6.1 Ownership

You retain all rights, title, and interest in your documents, Playbooks, extraction results, and any other content you create or process using the Application. Lexapient claims no ownership of your data.

6.2 Privacy Architecture

The Application is designed so that your document content, prompts, Playbooks, and extraction results never pass through Lexapient's infrastructure. All data processing occurs locally on your machine, with API calls going directly to Google's Gemini API. For full details, see our Privacy Policy.

6.3 Your Responsibility

You are solely responsible for:

  • Ensuring you have the legal right to process documents through the Application and the Gemini API.
  • Complying with any confidentiality, data protection, or regulatory obligations that apply to your documents.
  • Backing up your local data, including Playbooks and extraction results.
  • Understanding that document content is sent to Google's Gemini API for processing, subject to Google's data handling terms.

6.4 PDF Uploads

PDF files exceeding 50 MB may require temporary upload to Google's servers via the Gemini File API if you choose that option. The Application provides explicit user consent dialogs and a global opt-out setting.

7API Usage & Billing

7.1 Pricing Model

All usage is priced on a per-token basis at Lexapient's published rates. Token consumption is determined by the volume of document content and Playbook instructions sent to and received from the underlying AI model during each extraction.

  • Lexapient sets its own token pricing independently of the underlying AI provider's rates.
  • You can review estimated costs before running an extraction batch and see actual token consumption afterward.
  • There are no monthly minimums or per-seat fees unless otherwise stated in your subscription agreement.

7.2 Bring Your Own Key (BYOK) Discount

If you supply your own Gemini API key, a discount on Lexapient's per-token price will apply. The applicable discount rate is displayed in your account settings and on the pricing page at the time of use.

  • Under BYOK mode, you pay Lexapient's discounted per-token fee for platform services plus any API usage costs billed directly to your Google Cloud account by Google.
  • Lexapient has no visibility into, and accepts no responsibility for, charges incurred on your Google Cloud account.
  • BYOK discounts cannot be combined with other promotional offers unless explicitly stated.

7.3 Refunds

Because API tokens are consumed in real-time during extraction, fees for consumed tokens are generally non-refundable. If you believe you were charged in error, contact us and we will review your case.

8Third-Party Services

The Application integrates with third-party services. Your use of these services is subject to their respective terms:

Lexapient is not responsible for the availability, accuracy, or practices of third-party services. Changes to Google's Gemini API terms that affect data handling will be communicated to users.

9Intellectual Property

9.1 Lexapient's Rights

The Application, including its code, design, branding, documentation, and predefined Playbook templates, is owned by Lexapient and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Application in accordance with these Terms.

9.2 Your Rights

You retain full ownership of your documents, custom Playbooks, extraction results, and any other content you create. Lexapient does not claim any rights to your content and, by design, has no access to it.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Application, you grant Lexapient a non-exclusive, worldwide, royalty-free licence to use that feedback for product improvement purposes.

10Disclaimers

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Lexapient does not warrant that:

  • Extraction results will be accurate, complete, or error-free. AI-powered extraction is probabilistic and results should always be verified by qualified professionals.
  • The Application will be uninterrupted, secure, or free from bugs or vulnerabilities.
  • The Application will meet your specific requirements or expectations.
  • Citations returned by the AI model will always accurately reflect the source document text. Citation verification is your responsibility.

The Application is a productivity tool, not a substitute for professional legal, financial, or regulatory review. You are solely responsible for decisions made based on extraction results.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEXAPIENT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, business opportunities, or goodwill.
  • Damages resulting from inaccurate extraction results or AI-generated content.
  • Damages resulting from unauthorised access to or alteration of your data.
  • Any amount exceeding the total fees you paid to Lexapient in the twelve (12) months preceding the claim.

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if Lexapient has been advised of the possibility of such damages.

12Indemnification

You agree to indemnify, defend, and hold harmless Lexapient and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Application in violation of these Terms.
  • Your processing of documents you do not have the legal right to process.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any content or data you process through the Application.

13Termination

You may stop using the Application at any time by uninstalling it from your machine.

Lexapient may suspend or terminate your access to vendor-provisioned services if you:

  • Breach these Terms.
  • Use the Application in a manner that poses a security risk or may harm other users.
  • Fail to pay applicable fees.

Upon termination, your right to use vendor-provisioned API access ceases. Your local data (Playbooks, results, settings) remains on your machine and is unaffected. BYOK functionality continues to work independently.

14Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Notify you through the Application or via email.
  • Update the "Last updated" date at the top of this page.
  • Provide reasonable notice before changes take effect.

Your continued use of the Application after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Application.

15Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Lexapient is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of that jurisdiction.
